In consideration of the premises, and other good and
sufficient consideration, which is hereby expressly acknowledged by clicking
the "ACCEPT" button, I, hereby state the following:
I understand that King Pharmaceuticals, Inc. and its
subsidiaries (collectively "King"),
may elect within its sole discretion to use my name, title, comments,
statements, photographs, images and/or likeness (collectively, the "Name")
in advertising, marketing and/or promotional activities and materials of any
form worldwide now or in the future. I also understand that King may elect
within its sole discretion, and without notice, to not use my Name in
advertising, marketing and/or promotional activities and materials.
I hereby grant to King, an absolute right and permission to
use Use my Name which includes, but is not limited to, the ability to
copyright, display, broadcast, transmit, publish, republish, alter, distort,
create an illusionary effect with, blur, use in composite form, and create an
optical illusion with, my Name in any and all advertising, marketing and/or
promotional activities and materials or to refrain from doing so, in any media
or medium, whatsoever, worldwide, now or in the future, for advertising,
marketing and promotional activities and materials without notice to me and
without additional compensation. I understand, agree and acknowledge that I
hereby waive any and all claims, including any rights to copyright, publicity
or privacy, that I may have, currently or that may arise at any time in the
future, against King, including any employee, agent, representative, affiliate,
assign or third-party acting on behalf of King in connection with the Use of my
Name in any advertising, marketing, or promotional activities or materials of
any form.
I understand, agree and acknowledge that I shall not receive
any fee, royalty, payment or compensation, monetary or otherwise, now or in the
future, for the Use of my Name by King or its designee in any advertising,
marketing and/or promotional activities or materials of any form; and I hereby
waive any and all rights, including any rights of copyright, publicity or
privacy, that I may have, now or that may arise at any time in the future,
against King, including its employees, agents, representatives, affiliates,
assigns or any third-party acting on behalf of King to any fee, royalty,
payment or compensation, monetary or otherwise for the Use of my Name by King
or its designee in any advertising, marketing or promotional activities or
materials of any form.
I understand, agree and acknowledge that King shall own all
copyrights relating to all materials associated with the Use of my Name
including, but not limited to, materials containing commentary or statements by
me, films, videos, photographs, and reproductions taken of me or submitted by
me to King, if any, in connection with its advertising, marketing and
promotional activities and materials; and I hereby waive any and all rights
that I may have, now or that may arise at any time in the future, to any
materials, films, videos, photographs and reproductions taken of me by King or
its designee, or submitted by me to King, and/or any employee, agent,
representative, affiliate, or third-party acting on behalf of King for Use in
any advertising, marketing or promotional activities or materials of any form.
I additionally agree to take all necessary steps to establish, maintain and
transfer ownership of the copyrights relating to the materials associated with
the Use of my name to King without compensation.
I understand, agree and acknowledge that I hereby waive any
and all rights of inspection, input, control, editing and approval to the Use
of my Name by King or its designee in any advertising, marketing and
promotional activities and materials as such activities and/or materials may be
developed, from time to time, in any media or medium whatsoever including, but
not limited to television, radio, sound track, print, computer, or web based to
be used worldwide.
I understand, agree and acknowledge that I hereby waive and
release any and all rights, demands, losses, liabilities, claims, causes of
action whatsoever, against King, including any employee, agent, representative,
affiliate, assign or third-party acting on behalf of King, which I may now or
hereafter be entitled to assert, at law or in equity, including, but not
limited to any injury, loss of enjoyment, loss of privacy, or other harm or
loss of any nature whatsoever caused by, contributed to or arising out of the
Use of my Name, including but not limited to distortion, blurring, alteration,
optical illusion, use in composite form, which may result in subjecting me to
ridicule, scandal, reproach, scorn or indignity.
I further acknowledge and agree that I have read the above
prior to its execution and I fully understand its terms, conditions and
contents.
It is understood and agreed that this is a full and complete
RELEASE AND DISCHARGE of all claims and rights of the undersigned against King,
including any employees, agents, representatives, affiliates, assigns and any
third-party acting on behalf of King, and that no action shall be taken by or
on behalf of the undersigned with respect to any such rights; it being
acknowledged and understood that this RELEASE shall be fully and completely
binding upon the heirs, executors and administrators of the undersigned.
I further acknowledge that I am over 21 years of age and
competent to contract in my own name regarding the subject matter set forth
herein.
